Terms and Conditions
Article 1 — Purpose
These Terms and Conditions govern the provision of services by InsPyration EURL, registered at 138 rue Frederic Mistral, 34400 Lunel-Viel, France (hereinafter "the Provider"), to any natural or legal person placing an order for services (hereinafter "the Client"). Any engagement of services implies full and unreserved acceptance of these Terms.
Article 2 — Services
The Provider offers custom software development, software publishing, hosting and monitoring, training, and mentorship services. The precise scope, deliverables, and timeline for each engagement are defined in a specific proposal or statement of work agreed upon by both parties prior to commencement.
Article 3 — Pricing
Prices are quoted in euros and are exclusive of tax unless otherwise stated. The applicable VAT rate will be added to the pre-tax amount. Quotes are valid for thirty (30) calendar days from their date of issue. The Provider reserves the right to revise its rates at any time; however, services will be invoiced at the rate agreed upon in the accepted proposal.
Article 4 — Payment Terms
Invoices are payable within thirty (30) days of the invoice date, by bank transfer to the account specified on the invoice. In the event of late payment, a penalty equal to three times the legal interest rate will be applied automatically, along with a fixed recovery fee of forty (40) euros, in accordance with applicable French law.
Article 5 — Liability
The Provider commits to performing its services with due care and professional diligence. This constitutes an obligation of means, not of result. The Provider shall not be held liable for any indirect damages, including but not limited to loss of revenue, data loss, or business interruption. The Provider's total liability under any engagement shall not exceed the total amount invoiced for the services in question.
Article 6 — Intellectual Property
Upon full payment of all invoices related to an engagement, the intellectual property rights to the deliverables produced specifically for the Client are transferred to the Client, unless otherwise specified in the proposal. The Provider retains the right to use general-purpose tools, libraries, and methodologies developed independently, including those used in the course of the engagement.
Article 7 — Confidentiality
Both parties undertake to treat as confidential all information exchanged in the course of their collaboration, whether technical, commercial, or financial. This obligation of confidentiality remains in effect for a period of two (2) years following the end of the engagement, unless the information becomes publicly available through no fault of the receiving party.
Article 8 — Applicable Law
These Terms and Conditions are governed by French law. In the event of a dispute arising from the interpretation or execution of these Terms, the parties shall first seek an amicable resolution. Failing that, the dispute shall be submitted to the competent courts of Montpellier, France.
